PUBLIC OFFER on the sale of digital goods and the provision of services on the website lastcent.app

Edition of 10 August 2026, Bishkek, Kyrgyz Republic

Limited Liability Company "XP Digital Solutions" (LLC "XP Digital Solutions"), registration number 330289-3301-ООО, taxpayer ID (INN) 01706202610132, OKPO code 35021576, address: Kyrgyz Republic, Bishkek, Pervomaisky district, Ch. Aitmatov Ave., 16, apt. 68 (the "Seller"), publishes this public offer addressed to any legally capable natural person, legal entity or sole trader (the "Buyer").

The Buyer's Acceptance constitutes a contract in simple written form between the Seller and the Buyer (the "Contract") on the terms of this Offer.

1. Definitions

1.1. Website: the Seller's online resource https://lastcent.app, including its related pages, forms and order pages, which hosts the Catalogue and where Orders are placed.

1.2. Platform: a third party (a digital platform, publisher, issuer of certificates, content rights holder, service operator) whose products or services are purchased or topped up under an Order, including Apple, Microsoft, Sony, Valve, Electronic Arts, Nintendo and others.

1.3. Digital Good: a digital code, activation key, gift certificate, voucher or other digital item that is delivered to the Buyer and that the Buyer redeems (activates) themselves on the side of the relevant Platform.

1.4. Service: actions performed by the Seller in the Buyer's interest in respect of the Buyer's account on a Platform, including activating a subscription, renewing a subscription, topping up an account balance or game wallet, and other similar actions whose result is credited directly to the Buyer's account. The way the Service is performed (manually or automatically, including through a Platform's API) does not affect its classification.

1.5. Order: a request placed by the Buyer on the Website to purchase a Digital Good and/or receive a Service.

1.6. Catalogue: the list of Digital Goods and Services published on the Website, stating the price, the description and the way the result is delivered.

1.7. Acceptance: the Buyer's full and unconditional acceptance of the terms of this Offer by placing an Order on the Website and/or paying for it. An Order can only be placed after the Buyer has reviewed this Offer and the Privacy Policy.

1.8. Consent of the data subject to the processing of personal data, to receiving marketing mailings and to cross-border transfer is not part of the Acceptance and is given through separate documents (section 10 of this Offer).

2. Subject of the contract

2.1. The Seller undertakes to deliver the Digital Good to the Buyer and/or to perform the Service for the Buyer in accordance with the Order placed, and the Buyer undertakes to pay for and accept the result.

2.2. The Seller acts in its own name and at its own expense. The Seller is not an agent, commission agent, attorney or other intermediary of the Buyer and does not act on the Buyer's behalf. The Seller sells Digital Goods and performs Services as an independent party to the Contract.

2.3. The Seller is not a payment agent, an electronic money operator, a money transfer operator or a credit institution. The Seller does not issue electronic money and does not transfer funds in favour of third parties.

2.4. The Seller is not the rights holder of the Platforms' content and is not a party to the user agreements between the Buyer and a Platform. The Buyer's use of the result of an Order is governed by the rules of the relevant Platform.

2.5. For each item the Catalogue states how the result is delivered: (a) delivery of a Digital Good for the Buyer to redeem themselves; (b) performance of a Service in respect of the Buyer's account (activation, renewal, top-up). The Buyer reviews this before placing an Order.

2.6. The Contract is a contract of adhesion. The Seller may amend the terms of the Offer by publishing a new edition on the Website. The edition in force at the time of Acceptance applies to the Order.

3. Placing and performing an Order

3.1. Before Acceptance the Buyer reviews this Offer, the Privacy Policy and the description of the chosen Catalogue item.

3.2. By placing an Order the Buyer confirms that the data provided is accurate, including the email address and, for Services, the Platform account details required to perform the Order.

3.3. Performance of the Order begins after payment is received, unless the Website states otherwise.

3.4. The Digital Good is delivered to the Buyer in the way stated on the Website (on the order page, by email or in another agreed way). The Seller's obligation to deliver the Digital Good is considered performed from the moment the Buyer is given access to the digital code.

3.5. A Service is considered performed from the moment its result is credited to the Buyer's account on the Platform (subscription activated, renewed, balance topped up), or from the moment the Seller receives the Platform's confirmation that the operation has been completed.

3.6. Delivery times stated on the Website are indicative and depend on the Platforms' own procedures. Delays caused by the acts or omissions of Platforms, or by circumstances on the Buyer's side (incorrect account details, account restrictions or blocks, regional, currency and limit restrictions of a Platform), are not a breach by the Seller.

3.7. Performance of an Order is evidenced by electronic documents and data from the information systems of the Seller and the Platform (the message delivering the code, a transaction identifier, the Platform's confirmation, an electronic receipt where one is issued). A separate paper act is not required unless the Parties have expressly agreed otherwise.

4. Price and payment

4.1. The price of a Digital Good or Service is stated in the Catalogue on the Website and is final. The price includes the Seller's remuneration, all applicable taxes and duties, and the Seller's costs of acquiring the goods or securing the service from the Platform.

4.1.1. The Seller does not charge the Buyer any additional commissions, mark-ups or fees on top of the price shown in the Catalogue at the time the Order is placed. The final amount payable is shown to the Buyer before the Order is confirmed and may not be changed unilaterally by the Seller afterwards.

4.1.2. Exchange rate differences arising when the Seller acquires goods or services from Platforms are accounted for in the Catalogue price and are not passed on to the Buyer separately.

4.2. The currency of settlement is the Russian rouble, unless another currency is stated on the Website for a particular Catalogue item.

4.3. Payment is made by non-cash means through the payment services connected by the Seller and shown on the Website at the time the Order is placed (bank card, electronic means of payment, other available methods). The list of payment services may change without amending this Offer; the current payment methods are shown in the Website interface.

4.4. Bank card details and other payment credentials are entered by the Buyer on the side of the relevant payment service. The Seller does not receive or store the Buyer's bank card details.

4.5. Fees charged by the Buyer's bank or payment system, and exchange rate differences arising from conversion on the side of the Buyer's bank (for example when paying with a card issued in another currency), are governed by the rules of that bank or payment system, are outside the Seller's control and are not the Seller's remuneration. The Catalogue price remains final in the currency stated on the Website.

4.6. The Buyer's payment obligation is considered performed from the moment the funds reach the Seller's account or the payment service confirms that the payment was successful.

4.7. The Seller's tax obligations arising from the sale of Digital Goods and the provision of Services to buyers in particular jurisdictions are discharged by the Seller independently in accordance with the applicable law.

5. Confirmation of payment and performance

5.1. After a successful payment the Seller sends the Buyer, to the email address provided, an electronic confirmation of the transaction containing: the Order number (identifier); the date and time of the transaction; the name of the Digital Good or Service purchased; the payment amount; the Seller's name.

5.2. After the Order has been performed the Seller sends the Buyer a confirmation of performance: details of the delivery of the digital code or of the crediting of the Service result to the Buyer's account, stating the date, time and identifier of the operation.

5.3. The confirmations under clauses 5.1 and 5.2 are sent to the Buyer's email address and are also available to the Buyer on the personal order page for as long as the Order records are retained.

5.4. The Buyer may ask the Seller to resend a confirmation of the transaction, including in order to present it to a Platform when resolving disputes relating to the Buyer's account. The Seller sends such a confirmation within no more than 3 (three) business days of receiving the request at support@gift-code.ru.

5.5. Fiscal documents are issued and sent to the Buyer in those cases where the law applicable to the Seller requires them.

6. Subscriptions and automatic renewal

6.1. This section applies where the Website offers Catalogue items with periodic access (a subscription) that renews automatically with payment taken for each new period (recurring payments). Where the Website has no such items, this section does not apply.

6.2. Automatic renewal is enabled only with the Buyer's express consent, given by a separate affirmative action when placing the Order (ticking a box that is unticked by default). Automatic renewal may not be enabled by default, without the Buyer's knowledge, or as a mandatory condition of buying another product or service.

6.3. Before an Order with a subscription is confirmed, the Seller clearly informs the Buyer of: the price of the subscription period; how often payments are taken; the dates of the first and the next payment; how to cancel. This information is shown on the checkout page.

6.4. The Seller notifies the Buyer by email of an upcoming payment no later than 3 (three) calendar days before the date of the next payment, stating the amount, the payment date and a link to cancel the renewal.

6.5. The Buyer may cancel automatic renewal at any time without giving reasons: through the link in the upcoming payment notice, or by writing to support@gift-code.ru. Cancellation may not be made conditional on extra steps that make it harder.

6.6. Cancellation of automatic renewal declared before the date of the next payment prevents that payment. The subscription period already paid for runs to its end.

6.7. If a payment is taken after the Seller has received the Buyer's cancellation, or without the Buyer's consent to automatic renewal, the Seller refunds the amount in full within no more than 10 (ten) business days of receiving the relevant request.

6.8. The price of a subscription for the next period may be changed only if the Buyer is notified at least 14 (fourteen) calendar days before the payment date. The Buyer may cancel the renewal because of the change in price.

6.9. The Seller does not store the Buyer's bank card details. Recurring payments are taken by the payment service on the basis of the Buyer's instruction given when the subscription was set up.

7. Refunds, replacements and claims

7.1. A Digital Good delivered to the Buyer is not refundable or exchangeable on the grounds of "changed my mind" or "picked the wrong one", because it has individually defined properties and cannot be sold again once the digital code has been disclosed to the Buyer. This does not limit the Buyer's rights where a Digital Good of inadequate quality has been delivered.

7.2. A Service whose result has been credited to the Buyer's account (subscription activated, balance topped up) is not refundable from the moment it is actually performed, because the result has been consumed by the Buyer and cannot be recalled from the Platform.

7.3. If a technical fault is found in a Digital Good (the code does not activate, has already been redeemed, does not match the stated face value or region), the Buyer must send the Seller a claim no later than 48 (forty-eight) hours after receiving the result of the Order, at support@gift-code.ru.

7.4. The claim must be supported by objective evidence of the fault: screenshots showing the error text, the Platform's message, the date and time of the activation attempt, the Order identifier. Messages, conclusions or refusals from third parties are not in themselves sufficient evidence of a fault.

7.5. The Seller reviews the claim within no more than 10 (ten) business days and, where there are grounds, replaces the Digital Good or refunds the amount paid. Where necessary the Seller opens an investigation on the Platform's side; the timing of such an investigation is set by the Platform's own procedures.

7.6. The Buyer must keep the Digital Good confidential until it has been checked and activated. Passing on, reselling, publishing or otherwise disclosing the Digital Good to third parties is done by the Buyer independently and at the Buyer's risk. Claims made after such disclosure are considered only where there is objective evidence that the fault existed before the disclosure and is not connected with the acts of the Buyer or a third party, a breach of the Platform's rules or the loss of confidentiality of the code.

7.7. Refunds are made by the same method used for payment, within the period set by the applicable law, less any non-refundable payment system fees.

7.8. This Offer does not limit the rights of Buyers who are consumers under the mandatory consumer protection rules of their country of residence.

8. Rights and obligations of the Parties

8.1. The Seller must: deliver the Digital Good or perform the Service in accordance with the Order; give the Buyer accurate information about the Catalogue item, including how the result is delivered and any regional restrictions known to the Seller; review the Buyer's claims under section 7.

8.2. The Seller may: request from the Buyer the information needed to perform the Order; suspend or refuse performance where the Buyer has provided inaccurate data, where misuse of the Website is suspected, or where a Platform or payment service imposes restrictions; refuse to perform an Order that conflicts with the applicable law or the Platform's rules, returning the payment received.

8.3. The Buyer must: provide accurate data needed to perform the Order; pay for the Order; comply with the Platform's rules; not use the result of the Order in breach of third-party rights or the Platform's regional restrictions.

8.4. The Buyer confirms awareness of the risks of regional, currency, limit and other restrictions imposed by Platforms, including the risk that a Platform may block or cancel access if the Buyer breaches its rules.

9. Liability and limitations

9.1. The Seller is liable for delivering the Digital Good and performing the Service in accordance with the Order.

9.2. The Seller is not liable for failures, restrictions, blocks, refusals, delays, cancellations, rule changes or other circumstances caused by the acts or omissions of Platforms, banks, payment systems, telecom operators, electronic message delivery services, government authorities or other third parties, where those circumstances did not arise through the Seller's fault.

9.3. The Seller is not liable where the result of an Order cannot be used because the Buyer breached the Platform's rules, provided inaccurate account details, or because of regional, currency, technical or limit restrictions of the Platform.

9.4. The Seller does not guarantee that the Platforms' services and resources are available in any particular country and is not liable for restrictions on access to them imposed by telecom operators, providers or authorised bodies. This does not release the Seller from the obligation to deliver a working Digital Good or to perform a Service that has been paid for.

9.5. Lost profit, indirect losses and reputational harm are not compensated, unless mandatory rules of the applicable law provide otherwise.

9.6. The Seller's total liability under an Order is limited to the value of that Order, unless mandatory rules of the applicable law provide otherwise.

10. Personal data

10.1. The Seller processes the Buyer's personal data to the extent necessary to conclude and perform the Contract, including placing and performing the Order, sending service notifications, settlements, record-keeping and handling requests. This processing is carried out on the basis of performance of a contract to which the data subject is a party and does not require separate consent.

10.2. Personal data is processed as described in the Privacy Policy published on the Website. The Privacy Policy reflects the personal data legislation of the Kyrgyz Republic and, for buyers located in the Russian Federation, also Federal Law No. 152-FZ "On Personal Data".

10.3. Processing for purposes unrelated to performance of the Contract (advertising and marketing mailings, publication of reviews, analytics cookies) is carried out only with the Buyer's separate consent, given as a standalone document. Acceptance of this Offer is not such consent.

10.4. The Seller may entrust the processing of personal data to third parties (hosting providers, CRM systems, mailing services, analytics, technical contractors) under a processing agreement, with an obligation of confidentiality and processing strictly within the scope of the instruction.

10.5. As the Seller is registered in the Kyrgyz Republic, processing the personal data of buyers located in the Russian Federation involves a cross-border transfer. The conditions of such a transfer, including obtaining the data subject's consent, are set out in the Privacy Policy and in a separate consent to cross-border transfer.

11. Electronic document exchange

11.1. The Parties recognise the legal force of electronic messages, documents and files sent through the Website, by email and through messengers, provided that the sender can be reliably identified.

11.2. The time an electronic message is received is determined from the data of the Parties' information systems.

12. Governing law and dispute resolution

12.1. This Contract is governed by the law of the Kyrgyz Republic. This does not deprive a Buyer who is a consumer of the protection afforded by the mandatory consumer protection rules of their country of residence.

12.2. The Parties will seek to settle disputes through negotiation. The Buyer sends claims to support@gift-code.ru. A claim is reviewed within 10 (ten) business days of receipt.

12.3. Disputes with Buyers who are legal entities or sole traders acting for business purposes are subject to the courts at the Seller's location in the Kyrgyz Republic.

12.4. Disputes with Buyers who are consumers are considered with regard to the mandatory rules on jurisdiction set by the consumer protection law of the consumer's country of residence. For consumers located in the Russian Federation, the mandatory rules of the Russian Federation Law "On Protection of Consumer Rights" apply.

13. Term of the Offer

13.1. The Offer is in force from the date it is published on the Website until the Seller withdraws it.

13.2. The Contract is in force until the Parties have fully performed their obligations under the Order.
